Open by design

Every artefact we ship goes into the commons. Infrastructure tools as free software; sensing and dual-use tools carry ethical-use restrictions to limit harm.

Patent-free IP posture

No defensive patents, no offensive patents. The open licence does the heavy lifting. Co-op IP cannot be enclosed by any member or partner.

Applied R&D as the core

Output is open; commercial value comes from execution, integration, and trust. Research methods become reusable workflows, not one-off effort.

The shape is in what we won't do.

Four constraints define the cooperative. Each is load-bearing. Each is in the constitution. Each is what makes this the kind of thing it is.

01 · sortition

Directors drawn by lot, ratified by members.

Cryptographic random selection nominates; the members ratify. Six-month rotation, no campaigns, no self-nomination, no consecutive service. No one can position themselves for power — prevents capture.

02 · ethical veto

Any member can pause any decision.

The pause is non-defeasible — it can't be voted down or overridden. It lifts only when there's a recorded, answerable case for what the cooperative ought to do; if none is reached, the work doesn't proceed. Categorical refusals — surveillance, weapons, manipulation, discrimination, power-concentration — hold absolutely. Keeps the work honest.

03 · non-distributing

No shareholders. No profit distribution.

Surplus flows to the cooperative entity, not to members. Members are paid for traced work, not surplus. No extraction pressure. The co-op is self-determining.

04 · ip open

Patent-free. No non-competes.

Every artefact goes to the commons. Members pursue independent commercial activities. Alignment through transparency, not restriction.
